Marvell is buying Lumentum in an all-stock deal at an implied enterprise value of about $115 billion, announced yesterday and not closing until the first half of 2028. Nvidia's Jensen Huang, an investor in both companies, has publicly blessed it. Luke Kawa of Sherwood News says he has scrolled a long way and found nobody else who likes it, for either side. Jake Conley and Pras Subramanian go through what Marvell actually gets, why paying in stock is the objection rather than the logic, and the $5.8 billion Marvell owes if it walks away.
